The commercial team at Eakin McCaffery Cox has recently completed the successful sale for a client of their shareholding in a Sentry Medical Pty Ltd, a major supplier in the medical consumables industry to the publically listed EBOS Group Ltd. The sale was of multi-million dollar value with earn-outs to follow.

Fuller detail of the transaction, recently announced on the NZX and ASX, can be found at https://www.nzx.com/announcements/378370

Special Counsel George Halikiotis and Partner Kerry Sidaway headed the team at EMC.

The transaction, which had international aspects, included quickly building a large virtual data room, expeditiously reviewing multiple contracts with large government customers, negotiating the sale documentation, considering foreign law implications, amending existing contracts with offshore suppliers; securing employment contracts, and arranging a new lease of the company’s premises in Sydney.

Our team drew on internal resources which included Mergers and Acquisitions, Intellectual Property Law, Workplace Law, Government Procurement Law and practice and Property Law to achieve the results and drew on our Lawyer Associated Worldwide network for assistance offshore in Hong Kong, where W K To & Co assisted on some aspects.

Completion was achieved in less than two weeks after the exchange of contracts, notwithstanding the challenges posed by the ongoing pandemic.

For further detail, feel free to contact Kerry Sidaway at (02) 9265 3030 or George Halikiotis at (02) 9265 3006 respectively.
