Recent Recognitions
KN Law has established a strong track record at the forefront of innovation in Kenya’s capital markets, acting as legal adviser on three market-first transactions in the space of two years across infrastructure securitisation, Islamic finance and green, US dollar-denominated real estate investment.
The firm acted as legal counsel on the KES 44.8 billion (approximately USD 345 million) Linzi 003 Infrastructure Asset-Backed Securities Programme, Kenya’s first infrastructure asset-backed security. The oversubscribed 15-year issuance financed one of Kenya’s flagship public infrastructure projects and established a new route for mobilising institutional capital for major public infrastructure through the securitisation of future receivables.
The firm also acted as legal adviser on the Linzi Sukuk, Kenya’s inaugural Sukuk and the first Shariah-compliant security of its kind admitted to the Nairobi Securities Exchange. The transaction opened a new segment of Kenya’s capital markets to Shariah-compliant financing and established an important domestic precedent for Islamic capital markets transactions by demonstrating the potential for innovative capital-markets structures to channel private capital into social infrastructure.
Continuing that record of market-first transactions, the firm recently acted as legal adviser to the TRIFIC Green USD I-REIT, which the Capital Markets Authority identified as Africa’s first US dollar-denominated green income REIT. By combining green-certified income-producing real estate with US dollar-denominated investment and distributions in a listed REIT structure, the transaction created a distinctive new product for domestic, diaspora and international investors seeking regulated exposure to sustainable African real estate and hard-currency returns.
These mandates, along with others, reflect a defining feature of KN Law’s practice: the firm is regularly entrusted with transactions where there is no established domestic playbook and where legal structuring, regulatory engagement and execution are central to bringing a new asset class or investment product to market.

Mugambi Nandi has over 28 years of solid experience in corporate legal practice, 15 of these having been spent as in-house counsel at the most senior levels. He is a Solicitor of the Senior Courts of England and Wales, and an Advocate of the High Court of Kenya. He has extensive boardroom experience as in-house counsel, Company Secretary and member of private as well as public sector corporate boards. His legal advisory work has earned him the acclaim of peers and clients, and recognition and consistent ranking by Chambers Global annually since 2017. Over the last decade, he has been involved in M&A, Private Equity, Capital Markets, and Corporate Finance transactions with a combined value of more than KES 100 billion.
