GESSEL advised Enterprise Investors on the sale of Anwim to Stonepeak and Energy Equation Partners

GESSEL advised a fund managed by Enterprise Investors and the remaining shareholders on the sale of 100% of the shares in Anwim S.A., owner of the MOYA fuel station network and Poland’s largest independent fuel distributor, to a consortium of Stonepeak and Energy Equation Partners.

The transaction marks the culmination of Enterprise Investors’ investment in Anwim, which began in 2018. GESSEL advised Enterprise Investors throughout all key stages of the investment, from the fund’s initial investment, through the increase of its shareholding and a number of strategic growth and acquisition projects, to the current exit.

Over recent years, the MOYA network expanded from 180 to 540 fuel stations, becoming the third-largest fuel station network in Poland. Anwim developed its activities across fuel imports, exports, wholesale and retail distribution, as well as fleet services and, with the support of GESSEL, completed international acquisitions. According to publicly available financial statements, the company generated approximately PLN 13 billion in revenue in 2025 and held assets worth approximately PLN 1.8 billion.

“We are pleased to have supported Enterprise Investors throughout the entire investment cycle in Anwim. The transaction highlights our longstanding experience in advising private equity investors and acting on complex M&A transactions,” said Marcin Macieszczak, Managing Partner at GESSEL.

GESSEL has advised Enterprise Investors funds for more than 30 years on investments and exits across Central and Eastern Europe.

The transaction team was led by Marcin Macieszczak, Managing Partner, Bartłomiej Woźniak, Managing Associate, and Marcin Walczak, Senior Associate. Other team members included Rafał Smolik, Managing Associate, Katarzyna Olszak, Senior Associate, Natalia Leśna, Senior Associate, Agnieszka Nowacka, Counsel, Karolina Sobóla, Associate, Wiktoria Bednarska-Busz, Associate, Magdalena Rzepka, Associate, Michał Tratkiewicz, Junior Associate, Iwona Gielo-Benza, Senior Consultant, Dominika Kowalska, Junior Associate and Anna Komorzycka, Associate.
