In a monumental success story highlighting LAW member collaboration, eight LAW firms worked together on an international carve-out transaction.
Seitz (Germany), led by Counsel Dr. Philipp Zeller, acted as the coordinating LAW member firm, assuming overall stewardship of the employment law aspects of a significant international carve-out transaction. A German-based multinational corporation operating in lighting and sensor solutions divested a highly profitable business unit to a Japanese corporation. The project spanned nearly one year, with the closing completed in March 2026.
In the course of the carve-out, approximately 500 employees across more than 20 countries were transferred to the acquirer. Seitz assumed overall stewardship of the global employment law workstream, with each participating LAW member firm taking responsibility for structuring the employee transfers and drafting the transfer documents and employment-related clauses in the local asset purchase agreements within their respective jurisdictions: Sphere Logic Partners in China, Primordial Law Firm in Taiwan, Ushijima & Partners in Japan, Blenheim in the Netherlands, Howard Kennedy in the United Kingdom, Robins Appleby in Canada, and Nunziante Magrone in Italy.
